越南的电子劳动合同:从法律认可到实际可执行性

行摘要

越南已建立了一套承认电子劳动合同的法律框架,其中最主要的是《2019年劳动法典》、《2023年电子交易法》以及2025年12月24日颁布的关于电子雇佣合同的第337/2025/ND-CP号法令(“337号法令”)。

然而,在实践中仍存在一些关键挑战,尤其是在以下方面:

  1. 电子合同的证据效力;
  2. 雇主与雇员之间的数据不对称;及
  3. 监管系统间的互操作性有限。

雇主不应仅将电子劳动合同视为数字文件,而应将其视为更广泛的数据驱动型法律与合规框架的一部分。

从法律可到操作框架

越南法律现已明确承认,通过电子方式订立的劳动合同与书面合同具有同等法律效力。这一规定已在《2019年劳动法典》第14.1条中确立,并由《2023年电子交易法》进一步强化。

第337号法令标志着一项重大进展,它引入了一个更加规范的制度,涵盖以下方面:

  1. 电子劳动合同的订立和履行;
  2. 合同识别(电子合同ID);
  3. 数据的存储和传输;及
  4. 基于平台的合同管理。

这反映了更广泛的监管转变:劳动合同不再被视为纯粹的双边协议,而是日益被视为数字生态系统中受监管的数据。 

践中的主要缺口与

尽管框架已得到完善,但仍存在若干法律和实践问题。

电子证据的效力仍存在不确定性

虽然电子劳动合同具有法律效力,但其在争议中的证据价值尚未完全确定。

在实践中,以下情况可能引发争议:

  1. 系统日志或时间戳不完整;
  2. 无法明确核实作者身份或真实身份;或
  3. 数据完整性受到质疑。

值得注意的是,现行法规并未明确推定符合规定的电子劳动合同将被视为具有决定性效力的证据。

数据不对等与控制失衡

雇主和平台提供商通常掌控着合同系统、交易记录和数据存储。

另一方面,员工往往缺乏独立访问或获取合同数据的权限。这造成了证据效力上的不对称,尤其是在系统访问权限受到限制或终止的情况下。

法律互操作性仍然有限

尽管第337号法令推动了技术整合,但法律互操作性仍在发展中。实际上,税务机关、社会保险机构和银行可能要求提供单独的文件。此外,电子劳动合同可能无法在所有合规流程中获得统一认可。

这导致了一种情况:合同在法律上有效,但无法在整个监管链中完全发挥作用。

数据治理

电子劳动合同涉及对员工数据的广泛处理,包括潜在的敏感信息。然而,目前的框架并未完全明确以下几点:

  1. 数据控制者与数据处理者角色的差异或区分;
  2. 数据保留义务;
  3. 员工的访问权限;及
  4. 数据泄露时的责任。

这使雇主面临合规、监管和声誉风险。 

这对雇主何重要

电子劳动合同可显著提升(i)入职效率;(ii)行政成本管理;(iii)远程办公整合;及(iv)人力资源(HR)系统标准化。

然而,这些优势并非必然。若缺乏适当的法律和技术保障,电子合同可能会削弱争议中的证据效力,造成合规漏洞,并带来新的数据相关风险。

雇主当前采取的措施

雇主应采取结构化且具有风险意识的方法:

  1. 据的可靠性
  • 维护完整的审计追踪(日志、时间戳、认证数据);及
  • 确保数据的完整性和可追溯性。
  1. 确保访问权限和透明度
  • 向员工提供独立的合同副本;及
  • 避免依赖单一平台访问。
  1. 协调管合
  • 审查与税务、社会保险及数据保护框架的衔接;及
  • 必要时考虑采用混合解决方案(即电子与纸质并行)。
  1. 施数据治理控制
  • 制定关于存储、访问、保留和安全的政策;及
  • 定期进行系统和合规性审计。
  1. 选择可靠的子合同平台
  • 确保服务提供商符合越南监管要求;及
  • 评估系统的可靠性、安全性及证据效力。

展望

越南正朝着更成熟的数字劳动框架迈进。未来的改革预计将侧重于以下方面:

  1. 制定更明确的电子数据证据规则;
  2. 在数字雇佣纠纷中更合理地分配举证责任;
  3. 加强政府系统间的互操作性;及
  4. 对劳动数据实施更规范的监管。

结语

在越南,电子劳动合同已不再是新概念,但其实际可执行性仍然是一个关键问题。

雇主应将电子劳动合同视为更广泛的法律、技术和数据治理战略的一部分,而不仅仅是提高效率的工具。精心设计的方案不仅可以降低风险,还有助于实现长期的数字化转型。
