新加坡与中国宣布推出新资本市场举措并深化金融合作

序言

过去十年间,新加坡与中华人民共和国(简称“中国”)的金融合作显著深化,这主要得益于双边合作联合委员会(“JCBC”)等最高级别的双边合作机制的支撑。双方在支付、市场基础设施和监管对话等领域的互联互通不断拓展。

在资本市场领域,双方通过一系列双边举措合作,开辟了双向资本流动与产品开发的新渠道。这些措施旨在整合市场基础设施,使两国经济体共同成为亚洲资本形成的金融中心。

为深化双边金融合作,新加坡金融管理局(“MAS”)于2025年12月15日举行的第21届双边合作联合委员会会议上宣布了新的双边金融与资本市场举措,并通报现有合作进展,具体包括:

  1. 支持中国企业赴新加坡二次上市;
  2. 启动场外(“OTC”)债券市场安排;
  3. 指定星展银行(“DBS Bank”)为人民币清算银行;
  4. 深化指数及交易所交易基金(“ETF”)产品联通方面的合作;及
  5. 推进跨境绿色金融合作。

中国企业二次上市 

近年来,新加坡交易所(“新交所”)对其上市框架进行了多项修订,为包括中国公司、企业和资产在内的外国企业在新加坡交易所上市提供了多种途径。

新加坡金融管理局与中国证券监督管理委员会(“证监会”)现进一步支持中国企业在新交所进行二次上市。为促进这一举措,新加坡金融管理局与新交所将把二次上市框架,包括简化招股说明书要求,扩展至中国A股公司(即在深圳证券交易所和上海证券交易所上市的企业)。

此举旨在促进企业获取国际资本,为区域业务扩张提供额外融资渠道。

券市安排

新加坡与中国将通过中国银行与星展银行启动场外债券市场安排。根据该安排,新加坡的指定银行可为机构投资者提供在中国银行间债券市场购买特定固定收益产品的投资渠道。

此项安排旨在强化新加坡作为亚洲投资门户的地位。

获委任为人民币清算银行

继2013年中国工商银行新加坡分行获委任后,星展银行获委任为新加坡第二家人民币清算银行。此举旨在支持新加坡离岸人民币市场进一步发展,并促进人民币在贸易和投资中的使用。

现有计划进展

指数与ETF产品联通

新交所指数与中国证券指数有限公司(“指数”)的合作始于2024年推出的中证新交所新兴亚洲科技指数,该指数旨在追踪该区域快速增长的科技行业。

此后,新交所和中证指数于2025年11月推出了中证新交所亚洲100指数,这是双方联合推出的第二个指数。新指数追踪亚洲市场100家最大公司的表现,将发达市场、新兴市场和中国境内市场整合到一个透明、规则明确的基准体系中。

新加坡金管局和中国证监会也将深化合作,推动更多ETF产品在中新ETF产品联通框架下推出,并拓展股票型ETF产品线。新交所分别于2022年和2023年推出了与深圳证券交易所和上海证券交易所的ETF产品联通,旨在促进新加坡和中国股市的互联互通,并已帮助投资者更便捷地投资于不同市场的ETF产品。

跨境绿色金融合作

新加坡金管局宣布通过中新绿色金融工作组推进跨境绿色金融合作。为此,新加坡金管局将与中国人民银行合作更新多司法管辖区通用分类标准(“MCGT”)。

此举旨在促进双方各自绿色金融分类标准的互操作性,并鼓励在跨境绿色交易中采用MCGT。

最新推出的一系列计划深化了中新两国之间的双向市场互联互通,使企业融资更便捷,投资者也更容易接触多元化的跨境产品。
