破产的本质,是在一套标准化的法定框架下,以公开方式集中处置各类争议;而仲裁则相反,更强调灵活性与当事人意思自治,体现为争议解决的分散化与私密化。然而,在更为庞大、复杂的重组案件中,当事人越来越希望借助仲裁来节省时间与成本。这股趋势一方面推动了仲裁在重组领域的应用,另一方面也不可避免地激化了传统破产程序与仲裁制度之间的冲突。
正因如此,仲裁机构开始探索重组/破产情境下的专门化仲裁路径,以在法律强行性与当事人意思自治之间取得更好的平衡,并提升跨境重组纠纷处理的可预期性与效率。为此新加坡国际仲裁中心(“SIAC”)于2025年8月26日推出了《SIAC重组和破产仲裁规程》(SIAC Restructuring and Insolvency Arbitration Protocol)(“规程”),并于同日生效。规程创设了一项专门用于解决重组与破产争议的机制,当事人可自行选择适用。本质上,规程在现行有效的SIAC仲裁规则(“SIAC规则”)的基础上进行了修改,以提高效率并缩短仲裁时间。其主要特点包括:
- 缩短现行SIAC规则中的某些时限,例如提交仲裁通知答复书和提名仲裁员的时限;
- 贴合重组和破产程序的情境,促使仲裁庭考虑第三方追加或潜在的管辖权异议等问题;
- 规定了默认的仲裁地和准据法;以及
- 默认由独任仲裁员审理。
